This is an addendum to the fully executed Fleet Authorization Agreement by and between TFX and Customer, currently in effect. Scanning transactions processed through the Software will be routed in the same manner specified in the Agreement and subject to the same terms and conditions of the Agreement. All other terms of the Agreement remain in full force and effect.

  • The Software provides functionality for scanning documents in-cab, or anywhere with any PC-compatible computer or laptop and/or any approved mobile device by Customer’s truck drivers and independent operators, agents, brokers, affiliates or other Customer representatives, together defined as “Participants”.
  • Effective with the execution of this Addendum, Customer will begin paying the following Scanning Service Fees for all transactions scanned through TRANSFLO Now!™, in accordance with the payment terms set forth in the Agreement:

    $1.75 per transaction, includes up to 5 pages

    $0.35 per additional page

  • Option: TRANSFLO Mobile available now (Scan with other approved mobile devices when available).

    By checking the box, Customer agrees to allow Participants to use TRANSFLO Mobile Applications. The app is free to download for drivers. I understand my company will be charged the same transaction rate we are currently paying for TRANSFLO Now transactions.

TRANSFLO Now!™ Addendum to Fleet Authorization Agreement LLC
  1. TFX grants to Customer a non-exclusive, non-transferable, royalty-free license to distribute the Software and related documentation
    to Participants and to no other persons. Customer acknowledges that Participants will be required to accept an End User License
    Agreement before the Software will function.
  2. Customer acknowledges that each Participant will receive transaction confirmation receipts, notices of maintenance, upgrades,
    periodic updates and other communications from TFX via the email address entered by such Participant during Software
    registration.
  3. TFX agrees to provide second level telephone support directly to Customer, but not to Participants. Telephone support to Customers
    will be provided after Customer has generated an email to helpdesk@transflo.com containing the issue, troubleshooting steps taken
    by Customer, and a Customer callback name and number. Customer will be required to attend a TRANSFLO Now!™
    Troubleshooting Webinar, at its regularly scheduled weekly time, prior to fleet activation of TRANSFLO Now!™. If a Participant
    calls TFX for support, the Participant will be instructed to call Customer at the following number for support:

  4. Customer agrees to use commercially reasonable efforts to make all Participants aware of the availability of the Software within 120
    days of the Effective Date.
  5. Customer agrees that TFX has no control over the quality of images received by Customer from Participants. TFX makes no claims
    regarding quality of images and will not grant any discounts or refunds in connection therewith.
  6. The term of this Addendum shall be for three (3) years commencing on the Effective Date, and will automatically renew for
    additional three (3) year periods if the Agreement is still in effect at the end of any term, unless terminated earlier as provided herein
    or Customer provides written notice of termination at least sixty (60) days prior to a renewal date. If the term of this Addendum
    (including any renewal term) expires after the expiration or termination of the Agreement, all terms and conditions of the Agreement
    shall survive solely to the extent necessary to give effect to this Addendum. TFX may, upon giving written notice thereof to
    Customer, terminate this Addendum if Customer breaches any material provision of this Addendum and fails to cure such breach
    within thirty (30) days after receipt of such notice. In addition, for any account with a delinquent balance, TFX reserves the right to
    suspend its provision of scanning services associated with the Software upon 10 days prior written notice to Customer.
  7. In consideration for TFX granting Customer the right to distribute the Software to Participants, Customer agrees to not use, promote,
    or distribute to Participants, directly or indirectly, in any form, software, products, or tools that perform substantially the same
    function as the Software.
  8. During the Term or any renewal term, the Scanning Services provided by TFX will be the exclusive service used by Customer and
    its drivers to directly or indirectly scan and transmit document images and associated data from the cab of a truck using a personal
    computer to Customer for processing.
  9. Except as expressly permitted herein, no express or implied license or right is granted to Customer to, reproduce, copy, market, sell,
    distribute, disclose, license, sublicense, lease, timeshare, or rent the Software. Further, Customer shall not a) disassemble,
    decompile, decrypt, or reverse engineer the Software, or in any way attempt to discover or reproduce source code for the Software,
    or any part thereof; b) alter, modify, or prepare decompiled works based on the Software or related documentation, or any related
    material; or c) remove, alter, cover or obscure the copyright or other proprietary notices placed on or embedded in the Software or
    related documentation.
  10. TFX warrants that at the time the Software is delivered, Pegasus TransTech Corporation, TFX’s parent company will be the lawful
    owner of the Software, and TFX will have full right, power, and authority to license the Software to Customer. EXCEPT AS
    SPECIFICALLY SET FORTH IN THIS ADDENDUM, THERE ARE NO REPRESENTATIONS OR WARRANTIES, EXPRESS,
    IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF
    MERCHANTABILITY, NON-INFRINGEMENT, OR FITNESS FOR A PARTICULAR PURPOSE.
  11. Customer acknowledges that TRANSFLO Now!™ is not designed, intended, marketed, offered for sale, sold, or licensed to be used
    for the advance preparation of loading manifests, as claimed by U.S. Patent No. 6,401,078 (the “078 Patent”). Customer agrees to
    indemnify and defend TFX from and against any cost, liability, or expense (including reasonable attorneys’ fees) to the extent they
    arise from a third party claim that Customer’s activities infringe on the “078 Patent”.
  12. Notwithstanding anything else to the contrary contained in the Agreement or this Addendum, in no event shall the liability of TFX,
    its representatives and affiliates to Customer in connection with the Software or this Addendum exceed the amount paid to TFX under this Addendum for the three months prior to such claim.
